Job Title: Junior/Mid-Level Fund Formation Associate Attorney
Job Overview:
A law firm in Austin, TX is seeking a highly motivated associate with 2-4 years of experience to join its private funds formation team. The role involves advising investment entities in the structuring and ongoing operations of venture capital, growth equity, and other private investment vehicles. The ideal candidate brings a strong foundation in private funds law and a genuine interest in working with fund sponsors across a wide range of legal and regulatory matters. This is a client-facing opportunity within a collaborative team advising prominent investment groups in the U.S. and internationally.
Duties:
Assist clients in structuring and forming investment funds and related entities
Draft and negotiate fund governing documents, including LPAs and LLC agreements
Prepare to offer documentation and investor side letters
Guide compliance with U.S. securities laws and investment adviser regulations
Support clients with general operations of funds and management entities
Advise on internal firm arrangements, including GP/management company governance, employment and consulting matters, and related financing transactions
Navigate complex regulatory issues under the Investment Advisers Act, Investment Company Act, and other frameworks
Requirements:
2-4 years of experience in fund formation, private equity, or investment management law
Prior experience at a recognized national or international law firm
Demonstrated interest in growth equity and venture capital fund work
Strong communication and drafting skills
Ability to manage multiple client matters and work independently within a fast-paced team
Education:
Juris Doctor (JD) from an accredited U.S. law school
Strong academic credentials preferred
Certifications:
Admission to practice in California or Texas is strongly preferred
Active and in good standing with the relevant State Bar
Skills:
Deep understanding of fund structuring and investor negotiations
Familiarity with key securities and regulatory frameworks
Excellent analytical and research capabilities
High attention to detail and organizational efficiency
Client-centric approach with the ability to work collaboratively and proactively
