Profile

A law firm seeks a junior to mid-level associate (Class of 2018 to 2021) to join its Finance practice in New York. The ideal candidate will be part of a dynamic team that handles complex financial transactions, representing both domestic and international lenders, borrowers, agents, and arrangers. This role offers exposure to various types of finance, including aircraft finance, project finance, and commercial lending, with a focus on high-value transactions.

Duties:

  • Participate in secured and unsecured financing transactions, including agented and syndicated deals.
  • Gain experience in managing financing transactions exceeding $100 million.
  • Draft, negotiate, and review credit agreements, security agreements, pledge agreements, control agreements, guarantees, legal opinions, term sheets, and engagement letters.
  • Interpret and explain financing documents both orally and in writing.
  • Advise on the rules governing security interests under Article 9 of the Uniform Commercial Code.
  • Collaborate with clients to understand their needs and deliver effective legal solutions.
  • Contribute to team efforts while maintaining the ability to work independently.

Requirements:

  • A strong academic background with a demonstrated ability to excel in legal drafting, negotiation, and organizational tasks.
  • Experience with financial transactions, particularly with credit agreements and syndicated transactions.
  • Familiarity with the Uniform Commercial Code, specifically Article 9 regarding security interests.
  • Excellent written and verbal communication skills, with the ability to interpret complex financing documents.
  • Ability to work both independently and as part of a collaborative team.
  • Admission to the New York State Bar is required.

Education:

  • A Juris Doctor (JD) from an ABA-accredited U.S. law school.
  • A bachelor’s degree from an accredited institution.

Certifications:

  • Active membership in the New York State Bar.

Skills:

  • Proficiency in drafting and negotiating financial documents.
  • In-depth understanding of the banking and lending sectors, with an ability to apply this knowledge to finance transactions.
  • Strong attention to detail and organizational skills.
  • Ability to analyze complex documents and communicate legal concepts effectively.
  • Capacity to work independently while being an effective part of a team.
