Of Counsel - Franchise amp Distribution Transactional

Profile

A law firm seeks an experienced Of Counsel attorney specializing in franchise and distribution law to join its transactional practice. This role involves drafting franchise agreements, managing regulatory filings, and advising clients on complex business transactions. Ideal candidates have a strong foundation in U.S. franchise regulations, with additional experience in international franchising and mergers & acquisitions considered a plus. The position offers the flexibility of working from Philadelphia, PA, or remotely.

Duties

• Prepare and review franchise-related agreements, disclosure documents, and regulatory filings.
• Advise clients on intricate franchise and distribution transactions, including compliance with U.S. franchising regulations.
• Provide counsel on cross-border franchising and M&A matters as applicable.
• Collaborate with a wide variety of clients, including private equity firms, new franchisors, and established brands.
• Work with clients entering U.S. markets, offering guidance on compliance and regulatory matters.

Requirements

• Minimum of 8 years of transactional franchise experience, with a focus on U.S. franchising law.
• Admission to the Pennsylvania State Bar or eligibility for admission by waiver.
• Proven capability in drafting and managing franchise agreements and related documentation.
• Strong analytical and client advisement skills.
• Ability to work independently as well as collaboratively within a team.

Education

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications

• Active membership in good standing with the Pennsylvania State Bar or eligibility for admission by waiver.
