Director, Corporate Legal (Compensation & Benefits)
The candidate will partner closely with Firms global compensation and benefits team on all aspects of global employee compensation and benefits, including the design, implementation, and administration of equity, bonus, retirement and health and welfare benefit programs. Will guide on all aspects of Firms executive compensation program. Advise on the structure, implementation and administration of qualified and non-qualified employee compensation plans, programs, and arrangements, including the associated federal tax (e.g., Sections 409A, 162(m), 423, and 401(k)) implications. Advise on all aspects of Firms' qualified and non-qualified employee benefit plans and arrangements, including the design, implementation, administration, correction, amendment and termination of single-employer defined contribution retirement plans and welfare plans. Counsel Firms Compensation Committee. Partner with and advise Firms' SEC reporting and corporate governance team on SEC and NASDAQ disclosures (including registration, proxy, periodic and Section 16 filings), ESG disclosures, stakeholder engagement, Board and Committee materials and various equity-related matters, including 10b5-1 plans. Partner with and counsel Firms' M&A and tax teams on transactional issues and due diligence support, including Section 280G analysis and identifying issues and aligning with the Internal Revenue Code, ERISA, applicable labor laws, federal securities laws and NASDAQ regulations. Partner with and guide Firms' stock administration team on employee equity issues and training. Partner with and advise Firms' payroll and tax teams on employment tax issues. Partner with and advice Firms' subsidiary management and global expansion team on international compensation and benefits issues. Partner with Firms employment law team on compensation and benefits issues impacting employees and executives, including employment, consulting, termination, severance, change-in-control and restrictive covenant agreements and advise on the associated ERISA, federal tax, accounting, and securities implications. Stay up to date on legal changes affecting employee compensation and benefits, as well as executive compensation. Build positive relationships with business partners in People, stock administration, tax, payroll and legal to ensure the right level of support and collaboration. Support other corporate legal projects as needed. Manage outside counsel and supervise more junior team members as needed.
